END USER LICENSE AGREEMENT

1. Definitions and Interpretation

(a) Definitions

In this Agreement (including the recitals) unless the context otherwise requires:

Agreement means this agreement and its schedule;

Product means the Inzer application and platform as detailed in Schedule 1, including the Quantum tablet system, the Pro QR mobile integration, and any associated AI features and services;

Terms means the terms and conditions of this Agreement;

Licence means the revocable, non-transferable, non-exclusive and limited licence granted under this Agreement;

Device means a smartphone, tablet, gym-mounted display, or any other device on which the Product is installed or accessed.

(b) Interpretation

In this Agreement unless the context otherwise requires: (i) headings are for convenience only; (ii) the singular includes the plural and vice versa; (iii) words importing a gender include other genders; (iv) 'includes' is not a word of limitation; and (v) a reference to a statute includes any amendment or re-enactment of it.

2. Acceptance

(a) This Agreement is between you and the Licensor, and governs the Products made available to you.

(b) Upon: (i) selecting the 'Accept' option; (ii) payment of the licence fee for the Product; or (iii) downloading, installing, or using the Product (whichever comes first), you are granted a Licence strictly in accordance with the Terms of this Agreement.

(c) If you do not agree to the Terms of this Agreement, you must not install, use, or copy the Product.

3. Licence Grant

(a) This Agreement entitles you to install and use the Product on your personal Device(s) in accordance with the Terms. The Product may be accessed via a mobile application, web browser, or Inzer-integrated gym equipment as applicable to your account type.

(b) This Agreement does not permit: (i) installation or use for resale or redistribution; (ii) shared use; (iii) multi-device use without valid licence unless permitted under business arrangement.

(c) Business customers may be granted multi-device licences under separate agreements.

4. Limitations

(a) Limitations on Transfer

You may not assign, sell, rent, lease or transfer your rights.

(b) Limitations on Use

You may not share credentials, reverse engineer, misuse AI features, or distribute the Product without permission.

(c) Limitations on Derived Works

You may not create competing or derivative products.

(d) Limitations on Alteration

You may not modify or alter the Product files.

(e) Limitations on Copying

Copying is prohibited except temporary device caching.

5. Ownership

All intellectual property rights remain with Inzer Pty Ltd. No rights are transferred to the user.

6. Health and Fitness Disclaimer

The Product provides informational fitness guidance only and does not constitute medical advice.

7. Warranties and Exclusions

Liability is limited under Australian Consumer Law. All other warranties are excluded to the extent permitted.

8. Exclusion of Damages

No liability for indirect or consequential damages including loss of profit or data.

9. Limitation of Liability and Remedies

Total liability is limited to the licence fee paid in the prior 12 months.

10. Licensee Indemnity

User indemnifies Inzer Pty Ltd for misuse, breaches, or IP violations.

11. Privacy

Use of the Product is subject to the Privacy Policy available on www.inzer.com.au.

12. Variation of Terms

Terms may be updated with notice; continued use implies acceptance.

13. Termination

Agreement may be terminated for breach; user must uninstall Product immediately.

14. General Provisions

(a) Severability applies. (b) Invalid provisions do not affect remainder. (c) No waiver implied. (d) Entire agreement clause applies. (e) Governing law: New South Wales, Australia.
